What is NCLT? How It Affects Indian Companies and Their Stock Prices

NCLT is where corporate disputes, insolvencies, and restructurings are decided.

The National Company Law Tribunal (NCLT) is a quasi-judicial body that adjudicates matters related to companies under the Companies Act 2013 and the Insolvency and Bankruptcy Code (IBC) 2016. It handles mergers, demergers, insolvency proceedings, oppression and mismanagement complaints, and winding up.

When a company defaults on debt and creditors file an insolvency petition, NCLT admits the case and appoints a Resolution Professional. The company enters the Corporate Insolvency Resolution Process (CIRP). Stock trading continues but prices often crash upon NCLT admission.

How does NCLT affect stock prices?

NCLT admission under IBC typically causes sharp declines. Shareholders often get nothing in insolvency resolution. Merger or demerger orders approved by NCLT can create value for shareholders.

What happens during insolvency at NCLT?
