Book closure freezes the shareholder register to identify eligible shareholders.
Book closure is a period during which a company closes its register of members and does not process any share transfers. During this window, the company determines eligible shareholders for corporate actions like dividends, bonuses, and AGM voting rights.
If book closure is from March 15 to March 20, shares transferred during this period will not be registered. Only shareholders as of March 14 or earlier are eligible. This traditional method has been largely replaced by the record date system.
How is book closure different from record date?
Book closure is a multi-day window. Record date is a single day. Modern depositories and T+1 settlement make record date more practical. Many companies now use record date instead.
Does book closure affect trading?
You can still trade during book closure. But transfers in the company's register are frozen. Buying during book closure means settlement may not reflect in the register until after closure ends.
